Terms of Service

Welcome to Evo Vision Limited. These Terms of Service ("Terms") govern the project collaboration between us and our clients. By accepting our quotation and paying the initial deposit, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. Quotes & Scope of Work

  • Quote Validity: Unless otherwise stated in writing, all issued quotations are valid for 14 days from the date of issue. After this period, we reserve the right to reassess project costs and timelines.
  • Scope Freeze: Project execution is strictly limited to the items explicitly listed in the approved quotation. Any requests for additional pages, features, or design elements introduced after the quotation is signed will be considered Out of Scope and will be subject to separate quoting and billing.

2. Payment Terms

  • Deposit to Start: All projects require the agreed-upon initial deposit to be paid in full before they are scheduled and commenced.
  • No Pay, No Launch: This is a strict company policy. The final project balance must be paid in full before the website is officially launched, domains are connected, or full administrative access is handed over to you.
  • Late Payments: If an invoice for a project milestone remains unpaid for more than 14 days, we reserve the right to pause all design and development work until the outstanding balance is settled.

3. Revisions & Client Responsibilities

  • Phase Sign-offs: Projects are executed in phases (for example, visual style approval and structure approval). Once you have provided written approval for a phase and we proceed to the next, any requests for significant structural or design changes reverting to a previous phase will incur additional revision fees.
  • Client Responsibilities & Dormancy Clause: The client is responsible for providing necessary materials (text and images) and feedback in a timely manner. If a project is delayed for more than 14 days due to the client's failure to respond or provide required assets, we reserve the right to place the project on hold or mark it as complete, invoicing for all work completed up to that point.

4. Intellectual Property & Asset Ownership

  • Usage Rights: Evo Vision Limited retains full intellectual property rights to all designs, code, and digital assets until the total project balance is paid in full. Upon final payment, the client is granted full commercial usage rights to the final frontend website. We retain ownership of our proprietary underlying code libraries and custom development frameworks used to build the site. This excludes open-source components governed by their respective licenses.
  • Third-Party Dependency Disclaimer: The client's commercial usage rights do not constitute a guarantee of perpetual online uptime. The website's continuous operation strictly depends on the client maintaining and renewing third-party services (including but not limited to domain names, hosting, and premium plugin licenses). We are not liable for any site downtime, broken features, or data loss caused by expired third-party subscriptions.
  • Warranty Void (Client Modifications): After handover, if the client or an unauthorized third party alters the code, modifies core system settings, or updates plugins without our supervision, resulting in broken layouts or functionality, the free warranty will be immediately voided. Subsequent troubleshooting and fixes will be billed at our standard hourly rate.
  • Portfolio Rights: Unless a separate Non-Disclosure Agreement (NDA) is signed, we reserve the right to display screenshots, links, and case studies of the completed website in our official portfolio and on social media for marketing purposes.

5. Warranties & Liabilities

  • No Commercial Guarantees: We commit to delivering high-quality digital builds that meet industry standards. However, we do not guarantee specific commercial results, such as sales figures, traffic volumes, or specific search engine rankings.
  • Post-Launch Support: After the official handover (effective from the date we issue administrative access or the handover notice), we provide a 7-calendar-day warranty period for fixing basic technical errors related to our original build. Beyond this period, any requests for modifications, new features, or troubleshooting will require a separate maintenance plan or will be billed on a per-request basis.
